This End User License Agreement (“EULA” or “Agreement”) is a legal agreement between you (“you,” “your,” or “User”) and CarPal Enterprise Inc. (“CarPal,” “we,” “us,” or “our”) governing your download, installation, access to, and use of the CarPal mobile application, related software, features, services, and integrations (collectively, the “CarPal App” or “Application”).
By downloading, installing, accessing, purchasing a subscription to, or using the CarPal App, you acknowledge that you have read, understood, and agree to be bound by this EULA and our Privacy Policy.
If you do not agree to these terms, do not download, install, access, or use the CarPal App.
CarPal is a connected-vehicle and vehicle intelligence platform designed to help users understand and manage aspects of vehicle ownership, vehicle condition, driving behavior, maintenance, vehicle-related risk, and automotive services.
Depending on your location, vehicle, device, subscription, hardware, and available features, CarPal may provide functionality including:
Not every feature is available for every vehicle, device, user, country, or subscription level.
For versions of the CarPal App obtained through Apple's App Store, you and CarPal acknowledge that this EULA is concluded solely between you and CarPal, and not with Apple Inc. (“Apple”).
CarPal, not Apple, is solely responsible for the Application and its content, subject to the terms of this Agreement and applicable law.
Nothing in this Agreement is intended to create usage rules that conflict with the Apple Media Services Terms and Conditions or other applicable Apple usage rules.
Subject to your compliance with this EULA, CarPal grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the CarPal App for your personal or authorized business use.
For an Application obtained through Apple's App Store, this license is limited to use of the Application on Apple-branded products that you own or control and as permitted by Apple's applicable Usage Rules.
The Application may also be accessed or used by other accounts associated with the purchaser where permitted through Apple's Family Sharing, volume purchasing, Legacy Contacts, or other applicable Apple functionality.
No ownership rights in the Application are transferred to you.
You must have the legal capacity to enter into this Agreement.
You agree to provide accurate information when creating or maintaining a CarPal account and to keep your credentials secure.
You are responsible for activities occurring through your account unless caused by circumstances for which CarPal is legally responsible.
You may not use another person's account without authorization.
You may connect CarPal only to a vehicle that you own, lease, operate with authorization, or otherwise have lawful permission to access.
You are responsible for ensuring that your use of CarPal, CarPal Connect, OBD2 devices, vehicle information, and connected services complies with applicable laws, vehicle lease terms, fleet policies, insurance requirements, and other agreements applicable to the vehicle.
You may not use CarPal to access, monitor, interfere with, or collect information from a vehicle without appropriate authorization.
Certain CarPal features may require or work with CarPal Connect or another compatible OBD2, Bluetooth, Wi-Fi, telematics, or connected-vehicle device.
Vehicle compatibility is not guaranteed.
Vehicle manufacturers use different communication protocols, sensors, diagnostic systems, software versions, and data implementations. Accordingly, some information may be unavailable, incomplete, delayed, inaccurate, or interpreted differently depending on the vehicle.
The existence or absence of a diagnostic trouble code, warning, predicted condition, maintenance recommendation, or CarPal notification does not establish that a vehicle is safe or unsafe to operate.
Hardware products, including CarPal Connect, may also be subject to separate purchase, warranty, return, or hardware terms.
CARPAL IS A VEHICLE INFORMATION AND ASSISTANCE TECHNOLOGY. IT IS NOT A SUBSTITUTE FOR A QUALIFIED MECHANIC, VEHICLE MANUFACTURER, EMERGENCY SERVICE, SAFETY INSPECTION, OR PROFESSIONAL DIAGNOSTIC SERVICE.
Vehicle information, AI analysis, predictions, maintenance recommendations, diagnostic interpretations, driving scores, risk indicators, notifications, and other insights provided by CarPal are informational and assistive in nature.
CarPal does not guarantee that the Application will identify every vehicle defect, malfunction, dangerous condition, maintenance requirement, accident risk, or mechanical failure.
You should not delay necessary maintenance, repair, inspection, or emergency action because the CarPal App has not generated an alert.
If your vehicle displays a warning indicator, exhibits unusual operation, appears unsafe, or may require repair, you should follow the vehicle manufacturer's instructions and consult an appropriately qualified automotive professional.
Do not interact with the CarPal App in a manner that distracts you while driving.
Always comply with traffic laws and operate your vehicle safely.
CarPal may use algorithms, artificial intelligence, statistical models, vehicle information, driving information, historical information, and other data to generate predictions, classifications, recommendations, estimates, or risk indicators.
These outputs are probabilistic and may not always be accurate.
An AI-generated recommendation or predictive-maintenance indication should not be treated as a definitive mechanical diagnosis, guarantee of future vehicle performance, professional engineering opinion, insurance determination, or safety certification.
Users remain responsible for decisions concerning operation, maintenance, inspection, and repair of their vehicles.
CarPal may display information or offers relating to insurance, vehicle warranties, protection products, vehicle financing, lending, roadside assistance, repair financing, discounts, or similar services.
Unless expressly stated otherwise for a specific transaction, CarPal does not itself determine insurance underwriting decisions, insurance premiums, lending approvals, credit decisions, or eligibility for third-party products.
Insurance companies, lenders, warranty providers, financial institutions, service providers, and other third parties independently establish their own eligibility requirements, pricing, underwriting standards, terms, and conditions.
A driving score, vehicle score, risk score, recommendation, or other CarPal-generated information does not guarantee that you will qualify for any insurance discount, financial product, warranty, repair service, or other offer.
Additional terms and regulatory disclosures may apply when CarPal or a CarPal partner provides a regulated service.
The CarPal App may provide access to or information from repair shops, automotive service providers, insurers, lenders, warranty companies, parts suppliers, merchants, roadside assistance providers, dealerships, or other third parties.
Unless CarPal is expressly identified as the seller or service provider, third-party products and services are provided by the applicable third party.
CarPal does not guarantee the availability, workmanship, pricing, accuracy, quality, safety, legality, suitability, or performance of independently provided third-party products or services.
Your transaction or relationship with a third-party provider may be governed by that provider's own terms, privacy policies, warranties, cancellation policies, and other agreements.
You agree to comply with applicable third-party terms when using the Application, including wireless carrier, internet service, vehicle manufacturer, hardware provider, mapping provider, payment provider, and Apple terms.
CarPal may offer auto-renewable subscriptions, including the CarPal Annual Subscription.
Subscription features, duration, pricing, introductory offers, and other purchase terms will be displayed before purchase.
For subscriptions purchased through Apple's App Store:
Features included in a subscription may evolve as CarPal improves or modifies the service, subject to applicable law.
Nothing in this section limits rights you may have under mandatory consumer-protection laws.
Your privacy is important to CarPal.
Our collection, use, storage, processing, sharing, retention, and deletion of personal information and vehicle-related information are governed by our Privacy Policy and applicable law.
Depending on enabled features and permissions, the Application may process information relating to your account, device, vehicle, vehicle condition, diagnostic information, driving activity, location or trip information, interactions with CarPal, and other information necessary to provide CarPal services.
Availability of particular functionality may depend on permissions you provide through your mobile device or connected vehicle.
You may modify certain permissions through your device or Application settings, although disabling necessary permissions may prevent some CarPal features from functioning.
You may not:
CarPal and its licensors retain all rights, title, and interest in the Application and associated software, algorithms, AI systems, interfaces, designs, databases, documentation, trademarks, logos, content, and technology, except for content owned by third parties.
This EULA grants you a license to use the Application. It does not transfer ownership of any CarPal intellectual property.
You and CarPal acknowledge that, if a third party claims that the Application or your possession or use of the Application infringes that third party's intellectual property rights, CarPal, not Apple, will be responsible for the investigation, defense, settlement, and discharge of that intellectual-property infringement claim, to the extent required by applicable law.
CarPal is solely responsible for providing maintenance and support for the Application as required by applicable law or as otherwise provided by CarPal.
Apple has no obligation to provide maintenance or support services for the CarPal App.
Questions regarding the Application should be directed to CarPal using the contact information at the end of this Agreement.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APPLICATION AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
CARPAL DISCLAIMS WARRANTIES THAT MAY LEGALLY BE DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
CARPAL DOES NOT WARRANT THAT:
Some jurisdictions do not permit certain warranty exclusions, in which case applicable exclusions will apply only to the maximum extent legally permitted.
For an Application obtained from Apple's App Store, if the Application fails to conform to an applicable warranty that cannot legally be disclaimed, you may notify Apple and Apple may refund the purchase price, if any, for the Application in accordance with Apple's obligations.
To the maximum extent permitted by applicable law, Apple will have no other warranty obligation regarding the Application. Other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to an applicable warranty are the responsibility of CarPal to the extent required by law.
CarPal, not Apple, is responsible for addressing claims by you or third parties relating to the Application or your possession or use of the Application, including, where applicable:
Nothing in this Agreement limits CarPal's liability beyond what applicable law permits.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CARPAL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF USE, OR BUSINESS INTERRUPTION ARISING FROM OR RELATING TO THE APPLICATION.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CARPAL'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE APPLICATION OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF:
These limitations do not apply where prohibited by law or to liability that cannot legally be excluded or limited.
You are responsible for:
CarPal should not be relied upon as an emergency service.
For emergencies involving immediate danger, accident, injury, fire, crime, or other urgent circumstances, contact 911 or the appropriate emergency service for your location.
CarPal may improve, modify, add, remove, suspend, or discontinue features from time to time.
Certain features may depend on third-party APIs, vehicle manufacturers, mobile operating systems, telecommunications networks, cloud services, GPS availability, hardware, or external providers outside CarPal's control.
CarPal does not guarantee continuous availability of every feature.
Changes affecting paid subscription services will remain subject to applicable laws and App Store requirements.
You may stop using CarPal at any time.
CarPal may suspend or terminate access to the Application where reasonably necessary because of:
Termination of your CarPal account does not automatically cancel an App Store subscription. App Store subscriptions must be canceled through your Apple Account.
Sections that by their nature should survive termination, including intellectual property, warranty disclaimers, liability provisions, and applicable dispute provisions, will survive termination.
You represent and warrant that:
You agree to use the Application in compliance with applicable local, state, federal, national, and international laws.
Except where applicable consumer law requires otherwise, this Agreement will be governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
Nothing in this section deprives a consumer of mandatory protections provided under the laws of the jurisdiction in which that consumer resides when those protections cannot legally be waived.
CarPal may update this EULA when necessary to reflect changes in the Application, services, law, regulation, technology, or business operations.
Where required by applicable law, CarPal will provide appropriate notice of material changes.
Your continued use of the Application after an updated Agreement becomes effective constitutes acceptance to the extent permitted by applicable law.
You and CarPal acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this EULA with respect to your license and use of the iOS Application.
Upon your acceptance of this Agreement, Apple will have the right, and will be deemed to have accepted the right, to enforce this EULA against you as a third-party beneficiary.
Except for Apple and its subsidiaries as described above, this provision does not create third-party beneficiary rights unless expressly stated otherwise.
This EULA, together with the CarPal Privacy Policy and any additional terms expressly applicable to particular CarPal services, constitutes the agreement governing your use of the Application.
If any provision is determined to be unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
Failure by CarPal to enforce a provision does not waive CarPal's right to enforce it later.
